Terms of Service

1. Who we are

Neural Data Studio is a service of CodeLab s.r.l.s., registered at Corso Giuseppe Garibaldi 22, 00034 Colleferro (RM), Italia, VAT no. IT17925991006 (hereinafter "we" or "CodeLab s.r.l.s."). You can contact us at support@neuraldatastudio.ai.

2. Acceptance of terms

These Terms of Service (the "Terms") govern access to and use of the Neural Data Studio platform (the "Service"), including the website, the web application and related APIs. By creating an account or using the Service you declare that you have read, understood and accepted the Terms and the Privacy Policy. If you do not accept them, do not use the Service.

3. The Service

Neural Data Studio is a SaaS platform that allows you to query SQL and NoSQL databases — owned by you or to which you are authorised access — through natural language, generating SQL/MQL/Cypher with the assistance of artificial intelligence models. The Service includes editor tools, connection management, audit log, Business Intelligence dashboards and key and role management (RBAC).

The Service is continuously evolving. We may add, modify or remove features at any time. Material changes to the functioning of paid plans will be communicated with at least 30 days' notice.

4. Account

• To use the Service you must create an account providing truthful, current and complete information.
• You are responsible for the safeguarding of your access credentials and all activities performed through your account.
• You must be at least 18 years old and have legal capacity to enter into a contract.
• Report any unauthorised access promptly by writing to support@neuraldatastudio.ai.

5. Acceptable use

You agree not to:

• use the Service for unlawful activities or in violation of third-party rights;
• circumvent security controls, quotas or rate-limiting mechanisms;
• enter credentials or data for which you are not authorised;
• perform reverse engineering, mass scraping or system compromise attempts;
• use the Service to generate unlawful content, malware or for attacks on third-party systems;
• share your account with unauthorised persons (team plans provide explicit invitations).

AI-generated queries executed on your databases remain your full responsibility: you decide which connections to expose, which permissions to grant and when to approve write or DDL operations.

6. Plans and subscriptions

The Service offers a Free plan and paid Pro and Pro+ plans with monthly or annual billing. Prices, AI token quotas and limits of each plan are published on the Pricing page and may be changed for new renewal cycles with at least 30 days' notice.

Subscriptions renew automatically at the end of each period (monthly or annual) unless cancelled from the dashboard before the renewal date. Cancellation stops the renewal: the Service remains active until the end of the already-paid period.

7. Payments

Payments are handled by Stripe Payments Europe, Ltd., which acts as data processor for payment data. We do not store or directly process your credit card data. In the event of a failed payment the Service may be suspended after a brief grace period communicated by email.

8. Right of withdrawal (EU consumers)

If you subscribe to a paid plan as a consumer resident in the European Union, you have the right to withdraw within 14 days of the first payment, pursuant to Arts. 52 et seq. of Legislative Decree 206/2005 (Consumer Code). To exercise the right of withdrawal write to support@neuraldatastudio.ai stating the account email; we will refund the amount paid within 14 days using the same payment method.

By beginning to use the Service during the withdrawal period you expressly authorise early performance: in the event of withdrawal you will nonetheless owe an amount proportional to the days of use, pursuant to Art. 57(3) of the Consumer Code. After the 14-day period or in subsequent renewals after the first no partial refunds for early cancellation are provided.

9. Your data and your databases

The data you enter (CodeLab s.r.l.s. refers to them as "Customer Data") remain your property. We grant a minimum licence necessary to deliver the Service: at-rest encryption of credentials, execution of your initiated queries, prompt generation towards the AI provider. Details on how we process this data are in the Privacy Policy.

10. Intellectual property

Neural Data Studio and the related software, design, documentation and trademarks are the property of CodeLab s.r.l.s. or its licensors. We grant you a personal, non-exclusive, non-transferable and revocable licence to use the Service within the limits of these Terms.

11. Limitation of liability

The Service is provided "as is" and "as available". To the extent permitted by applicable law, CodeLab s.r.l.s. is not liable for:

• indirect, consequential damages, loss of profits or opportunities;
• loss or alteration of data resulting from queries you approved;
• Service interruptions due to force majeure or third-party providers.

The total liability of CodeLab s.r.l.s. for any claim relating to the Service shall not exceed the amount you actually paid in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, gross negligence or other non-waivable matters provided by law.

12. Availability and SLA

We are committed to keeping the Service available at high continuity levels, without however guaranteeing a specific uptime percentage contractually for the Free, Pro and Pro+ plans. Contractual SLAs are available for Enterprise plans under a separate agreement.

13. Suspension and termination

We may suspend or close your account in the event of a breach of the Terms, non-payment or use that puts the security or integrity of the Service at risk. Except for serious breaches, we will give you reasonable notice and an opportunity to remedy.

You may cancel your account at any time from the settings or by writing to support@neuraldatastudio.ai. Upon cancellation, your data follows the soft-delete and hard-delete process described in the Privacy Policy.

14. Changes to the Terms

We may update the Terms to reflect changes to the Service, applicable law or practices. Material updates will be communicated by email to the address associated with the account and via a dashboard notice with at least 30 days' notice. The date at the top of the page always shows the latest revision.

15. Governing law and jurisdiction

These Terms are governed by Italian law. For any dispute relating to the Service the exclusive competent court is the Tribunal of Velletri (RM), consistent with the registered office of CodeLab s.r.l.s., except where the dispute is brought by a consumer: in that case the court of the consumer's place of residence or domicile shall have jurisdiction, pursuant to Art. 66-bis of the Consumer Code.
